1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and TalkAlly. By using the App, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

TalkAlly is a voice-powered AI assistant application that enables:

• Voice-activated calling and messaging
• AI-powered conversations and queries
• Integration with third-party AI services (OpenAI, Azure OpenAI)
• Optional integration with business orchestration platforms

3. User Responsibilities

You agree to:

• Use the App only for lawful purposes
• Provide accurate information when configuring the App
• Maintain the security of your API keys and credentials
• Comply with the terms of service of third-party providers (OpenAI, Azure, etc.)
• Not use the App to harass, abuse, or harm others
• Not attempt to reverse engineer, modify, or create derivative works of the App

4. API Keys and Third-Party Services

Your API Keys: When using Personal mode, you are responsible for obtaining and managing your own API keys from OpenAI or Azure. You are solely responsible for any charges incurred through your use of these services.

Third-Party Terms: Your use of third-party services through TalkAlly is subject to those services' terms and conditions. We are not responsible for the availability, accuracy, or content of third-party services.

5. Costs and Billing

TalkAlly itself is free to download and use. However:

• AI processing through OpenAI or Azure incurs costs based on their pricing
• You are responsible for monitoring and paying for your API usage
• The App provides cost tracking features, but these are estimates and may not reflect final billing

6. Intellectual Property

The App, including its design, features, and content, is owned by TalkAlly and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal or business purposes in accordance with these Terms.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The App will be uninterrupted or error-free
• AI responses will be accurate, complete, or appropriate
• The App will meet your specific requirements
• Third-party services will be available or function correctly

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKALLY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Costs incurred through third-party API usage
• Actions taken based on AI-generated responses

9. Indemnification

You agree to indemnify and hold harmless TalkAlly from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

10. Modifications to the App and Terms

We reserve the right to modify, suspend, or discontinue the App at any time. We may also update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the modified Terms.

11. Termination

You may stop using the App at any time by uninstalling it. We may terminate or suspend your access to the App at our discretion if you violate these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
